Terms of Use for Geozo native advertising platform
These Terms of Use for Geozo native advertising platform (the "Terms") are the official terms on which Geozo renders services to Publishers and Advertisers. These Terms are binding upon any person with the appropriate legal capacity who intends to use the services of Geozo native advertising platform, hereinafter referred to as the "User". By registering on the Geozo native advertising platform, you accept these Terms, so we recommend that you carefully read the whole document
1. Terms and Definitions
1.1 Geozo platform (Geozo) is Native advertising platform that provides to Publishers and Advertisers services of establishing interaction for earning money from online advertising by creating, uploading and placing Ad units and Ads via Geozo functional. Address of the platform is https://Geozo.com.
1.2 “Publisher (Partner)” is an owner or manager of Internet resource who has an account at Geozo native advertising platform and broadcasts/distributes Ad units on the Website managed.
1.3 “Advertiser (Partner)” - Geozo User, business owner or manager who has an account with Geozo. Advertiser can launch advertising campaigns in accordance with Geozo terms and promote services or products if his account balance is positive.
1.4 “Website” is one or more logically linked Internet pages with a unique electronic address (URL) through which the content of the Website is accessed. It serves as a platform for placing Ad Units of Geozo. The Websites are owned or operated by the relevant Publishers. A Website is deemed to be linked to the Geozo Platform at the time it is added.
1.5 “Ad unit” means a text and graphic message posted on the Website through Geozo, containing a link to the Advertiser's offer.
1.6 “Advertising Campaign” means one or several advertisements created by the Advertiser for showing in the Ad Units on the Websites.
1.7 “User” means any person who is a visitor to Geozo and interacts with the Service. After registration user gets the status of Publisher, Advertiser (Partner).
1.8 “Insertion order (IO)”: means an agreement in the format of a bilateral document between Geozo and Users, legally confirming the use of Geozo native advertising platform and serving as a basis for reciprocal performance by the parties.
2. General
2.1 These Terms may not constitute or be construed as a public offer under any circumstances. When accessing Geozo by registering an account (either as a "Publisher" or an "Advertiser") on the Geozo native advertising platform, the User is deemed to be acquainted with these Terms and accepts them in full. By registering on the geozo.com User also gives his/her consent to the processing of his/her personal data. All details of the purposes, methods and terms of personal data processing are set out in the Privacy Policy.
2.2. These Terms regulate the procedure, conditions and peculiarities of using the Geozo native advertising platform in order to participate in an affiliate programme for displaying Ad units and/or Advertisement campaigns on the Internet. Additional terms and conditions regarding restrictions imposed on the posted content, moderation periods, landing pages, image and headlines and possible reasons for ad rejection are set forth in the Geozo Policies.
2.3. These Terms are binding and effective as of the User's registration on Geozo platform and are an integral part of the respective Insertion orders (IO) to be subsequently concluded between Geozo and Users. In case of discrepancies in the text of the signed IO and the text of these Terms, the signed IO will prevail.
2.4 Geozo provides the necessary technical facilities to monetize the Publishers traffic, without claiming any rights of ownership, management, support to the Websites connected to the Geozo native advertising platform.
2.5 Geozo, as part of its services to Advertisers, provides necessary technical facilities to Advertisers to place advertisements, without claiming rights of ownership, management, support, etc. in respect of their advertisements, goods or services.
2.6 Users become Publishers, Advertisers after registering an account on the Geozo platform. Registration includes automatic and unconditional acceptance of these Terms.
2.7 The Administration shall be entitled to use the Publisher's or Advertiser's personal data entered upon registration (login and contacts) for marketing researches, emailing or for individual commercial offers without handing them over to third parties (except for cases provided by the applicable laws). Additional conditions for use of personal data are set out in the Privacy Policy.
2.8 If any applicable laws are violated in any form or type, the Administration may suspend display of ads on the Website of the Publisher, stop the Advertiser's advertising campaign, block the Ad Units and/or account belonging to Advertiser or Publisher who has commited a violation.
2.8.1. Geozo shall be entitled to unilaterally suspend the provision of services and/or terminate the Agreement out of court by notice to the User in case of breach of obligations and/or guarantees by the latter.
2.9. The Administration shall be entitled to temporarily suspend the provision of Services for technical, technological or other reasons preventing the provision of the Services for the time of elimination of such reasons.
2.10. The Administration has the right to unilaterally, without notice to the Partner, change/revise the rate per click for those Websites of Publishers, whose traffic is not suitable for Advertisers available in the system.
2.11. The Administration is entitled to make changes to the Terms at any time by publishing a new edition on this same webpage.
3. Geozo Terms for Publisher
3.1 In order to receive access to Geozo and Publisher status, the User shall register to create an account at panel.geozo.com.
3.2 After registration, the User receives an email to the address provided during registration. This email contains a link to activate the account. In order to confirm the registration, it is necessary to click on the link in the e-mail. After that the account will be created.
3.3 The Publisher is responsible for all actions with his/her Account.
3.4 The Publisher will keep his/her password confidential and will not disclose it to any third party to prevent any unlawful action from the account, which could damage the Websites or Geozo native advertising platform. If you lose access to the Website or sell or transfer the Website to a third party, you should immediately notify the Geozo support team or write to info@Geozo.com. Any negative consequences for User and/or third parties, damage or loss of profit caused by violation of this clause shall not be indemnified by the Administration.
3.5. The Publisher shall replace the code of Ad unit on the website at the request of Geozo not later than 10 days after receipt of notification by email, indicated at the moment of registration.
3.6. The Publisher has the right to get technical and informational support from the Administration on any issues related to Geozo.
3.7 The Publisher has the right to use technical tools developed for Publishers.
3.8 The Publisher has the right to receive up-to-date code for installing ad units at his/her Websites.
3.9 The Publisher is prohibited to create multiple accounts, including for the purpose of linking each of his Websites to a separate account. All Publisher's Websites shall be linked to one account. Exceptions are those which have been previously agreed upon and approved by the Administration.
3.10. The Publisher is not allowed to add the same Website to the system more than once.
3.11. The Publisher is prohibited to lay up a quantity of traffic, views, clicks or other indicators that could increase his/her income, using any tools and methods such as users, third parties, scripts, software or special services, etc.
3.12. The Publisher is prohibited to get referrals via referral links, using methods that encourage users to make artificial transition through programmes and services (job exchange, cross-click, CAP and auto-surfing systems, etc).
3.13. The Publisher is prohibited from artificially drawing attention to Ad Units on the Website, e.g., placing Ad units below the elements of the website, encouraging to click on them, containing appeals ("Click here", "Support us", "Advertising support the website - click!", etc.).
3.14. The Publisher is prohibited from changing the code of the Ad Unit.
3.15. The Publisher is prohibited to hide Ads in any way (make it invisible, unreadable, adjust it to the background colour, use minimum font size, etc.).
3.16. The Publisher is prohibited to put code of Ads in video player, place code of Ads as a pop-up window for mobile devices or display Ads in the first screen of mobile device so that it occupies more than 50% of the whole screen.
3.17. The Publisher is prohibited from using the advertising code of one particular Ad unit on more than one Website. The Ad Unit has an individual code on each particular Publisher's Website.
3.18. The Publisher is prohibited from installing the codes of Geozo Ad Units on websites that are not registered with Geozo.
3.19. If any of the rules is violated, Geozo reserves the right to block the account of the Publisher without payout.
3.20. The Publisher shall pay fees and taxes in accordance with the laws of his/her country of residence.
4. Requirements for the Publisher sites
4.1 Websites with a minimum of 100 unique visitors per day for at least one month at the time the Website is registered in the system are accepted for Geozo.
4.2 Websites with traffic from different geographic locations are accepted for Geozo.
4.3. Geozo accepts websites that provide accurate counter data with sufficient detail, such as Google Analytics.
4.4 Websites on paid and free hosting are accepted by Geozo. However, please note that Websites on free hosting are accepted at the discretion of Geozo, as such Website shall meet the standards and requirements of these Terms and Geozo Policies. Free hosting statistics show that more than half of Websites fail to pass moderation.
Geozo rejects sites:- With information that violates any applicable law;
- Incomplete or with critical bugs;
- Containing malicious code, software with viruses or otherwise capable of damaging users' technical equipment;
- Blacklisted by search engines and have not passed security checks of browsers and anti-viruses;
- Not of interest to the actual visitor, created for the purpose of redirecting traffic, selling links, etc.;
- Containing 18+ content;
- With a source of traffic from ATSs, autoclicks and their analogues;
- With advertisements for CAP services, auto clicks and their analogues;
- Advertising on which provokes users to make untargeted clicks.
4.6. Geozo reserves the right not to cooperate with certain sites without giving a reason.
5. Payments
5.1. Payments will be made on Publisher's request from his/her account or via autopay if set in the Account.
5.2. The means and terms of payment may be found in the user account or requested at info@geozo.com.
6. Penalties
6.1 In case of violation of clauses 3.12 - 3.19 of the Terms for Publishers and detection of multi-accounts (accounts registered by the same person or affiliated persons), Geozo has the right to block one or more accounts without the possibility of withdrawal.
6.2 In case the Publisher has violated clause 3.12, the Administration shall be entitled to debit the account of the Publisher for the low-quality traffic and return funds to the advertisers, and to terminate the cooperation or block the account of the Publisher.
6.3 The Administration shall have the right to suspend display of advertisements on the Websites without giving any reason.
6.4 Violation of the main provisions of these Terms (like artificially increasing or changing the number of clicks from Geozo ads), may result in a warning to the Publisher about the violation of the Terms, suspension of affiliate programmes on the Publisher Websites, as well as termination of legal relationship and termination of his Geozo account.
7. Geozo Terms for Advertisers
7.1 In order to receive access to Geozo in a status of an Advertiser, the User has to register to create an advertiser account.
7.2 After registration, the User receives an email to the address provided during registration. This email contains a link to activate the account. In order to confirm the registration, it is necessary to follow the link provided in the email. After that the account will be created.
7.3 The Advertiser is responsible for all actions with its Account.
7.4 The Advertiser undertakes to keep its password safe and not to disclose it to third parties to prevent unlawful actions from his account that could damage the Websites or Geozo platform. Any negative consequences for the User and/or third parties, damage or loss of profits caused by violation of this clause shall not be compensated by Geozo.
7.5. All quality clicks (recognised as such by Geozo) made by Users through the Advertiser's advertisements shall be paid from the Advertiser's balance at the cost determined by the internal mechanisms of Geozo platform. Funds for low-quality transitions are returned to the balance of the Advertiser.
7.6 The number of clicks is counted automatically by the counter of Geozo platform. Cooperation and creating an account on the Geozo platform implies the User's unconditional agreement with the platform's technical system calculations.
7.7 The Advertiser has the right to receive technical and informational support from the Administration specialists on any issues related to work with Geozo.
7.8 The Advertiser has the right to access the technical tools of the platform developed for him/her.
7.9 The Advertisers are prohibited from creating advertising campaigns and placing ads linked to projects that:
- Do not open or contain errors that prevent the operation of websites.
- Promote violence and any kind of discrimination, call for extremist acts, incite social, racial, national or religious discord, display prohibited symbols or disseminate prohibited information.
- Contain foul language.
- Insult religious feelings.
- Contain information about computer and software hacking.
- Advertise resources that contain viruses or other harmful software or contain such.
- Advertise resources copied from other sites without the consent of their owners.
- Trick the user into subscribing.
- Intentionally mislead the users in any way so as to cause harm to their health or well-being.
- Use the techniques to hide the true URL destination that users are directed to (e.g. cloaking).
- Use the Back Button in ads launched on the traffic source ‘News feed’.
- Do not comply with other Geozo Policies.
7.10. Advertisers are prohibited to create advertisements that do not comply with Geozo Policies
8. Advertiser account balance
8.1 The Advertiser may launch advertising campaigns only after the balance of the Account has been replenished.
8.2 The Advertiser pays only for quality clicks (according to Geozo metrics) by debiting the account according to the rates in the advertising campaigns settings.
8.3 The Advertiser may refund unused funds by request to Geozo support. Funds paid for placements of Ads and quality clicks are not refundable.
8.4 Advertisers pay fees and taxes in accordance with the legislation of their country of residence.
8.5. Geozo has the right to deny the return of funds in case of violation of clauses 7.09.-7.10 and set them off as compensation for any losses, penalties, fines and damage incurred by the Geozo as a result of such violation.
9. Penalties
9.1. In case of breach of clauses 7.09.-7.10 of these Terms, Geozo Administration is entitled to issue a warning, block the Advertiser's account and impose a fine on the Advertiser depending on harm caused by the breach. The fine shall be withheld from the Advertiser's account immediately.
10. DISCLAIMER AND LIMITATION OF LIABILITY.
10.1. IN NO EVENT SHALL GEOZO BE LIABLE TO YOU OR ANY THIRD PARTY (INCLUDING, WITHOUT LIMITATION, ANY CUSTOMERS OBTAINED THROUGH YOUR MARKETING EFFORTS) FOR ANY DAMAGES OF ANY KIND ARISING FROM YOUR USE OF THE GEOZO PLATFORM, INCLUDING, BUT NOT LIMITED TO, SPECIAL, INDIRECT, INCIDENTAL, PUNITIVE AND/OR CONSEQUENTIAL DAMAGES, EVEN IF GEOZO HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. GEOZO’S MAXIMUM AGGREGATE LIABILITY TO PUBLISHER/ADVERTISER AND ANY THIRD PARTY UNDER ANY AND ALL CIRCUMSTANCES SHALL BE FIVE HUNDRED DOLLARS ($500). PUBLISHER/ADVERTISER AND GEOZO SPECIFICALLY STATE AND AGREE THAT THE FOREGOING DAMAGES LIMITATION IS REASONABLE AND ENFORCEABLE. REGARDLESS OF ANY LAW TO THE CONTRARY, PUBLISHER/ADVERTISER SHALL HAVE NO RIGHT OF ACTION, AND WAIVES ITS RIGHT TO BRING A SUIT, CLAIM, OR PROCEEDING AGAINST GEOZO MORE THAN ONE (1) YEAR AFTER THE DATE UPON WHICH THE CLAIM AROSE. PUBLISHER/ADVERTISER RECOGNIZES AND ACKNOWLEDGES THAT THIS LIMITATION OF DAMAGES IS FAIR AND REASONABLE. GEOZO NATIBE ADVERTISING PLATFORM AND ALL ITS SERVICES RENDERED TO PUBLISHER AND AVERTISERS ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS AND ALL WARRANTIES, EXPRESS AND IMPLIED, ARE DISCLAIMED (INCLUDING, WITHOUT LIMITATION, THE DISCLAIMER OF ANY WARRANTIES OF MERCHANTABILITY, NON-INFRINGEMENT OF INTELLECTUAL PROPERTY AND/OR FITNESS FOR A PARTICULAR PURPOSE). GEOZO PLATFORM AND ALL UNDERLYING PRODUCTS AND SERVICES MAY CONTAIN BUGS, ERRORS, PROBLEMS OR OTHER LIMITATIONS. GEOZO HAS NO LIABILITY, WHATSOEVER, TO PUBLISHER/ADVERTISER OR ANY THIRD PARTY, FOR PUBLISHER’S/ADVERTISER’S USE OF, OR INABILITY TO USE, THE GEOZO PLATFORM AND GEOZO DISCLAIMS ANY AND ALL WARRANTIES, EXPRESS AND IMPLIED, THAT PUBLISHER’S/ADVERTISER’S USE OF SAME WILL BE UNINTERRUPTED OR ERROR-FREE OR THAT THE PLATFORM WILL BE AVAILLABLE TO PUBLISHER/ADVERTISER WITHOUT ANY LIMITS. THE NEGATION OF DAMAGES SET FORTH HEREINABOVE IS A FUNDAMENTAL ELEMENT OF THE BASIS OF THE BARGAIN BETWEEN GEOZO AND PUBLISHER/ADVERTISER. ACCESS TO GEOZO PLATFORM WOULD NOT BE PROVIDED TO USER WITHOUT SUCH LIMITATIONS. GEOZO MAKES NO REPRESENTATION OR WARRANTY WITH RESPECT TO ANY RESULTS OBTAINABLE THROUGH THE GEOZO PLATFORM. NO ADVICE OR INFORMATION, WHETHER ORAL OR WRITTEN, OBTAINED BY PUBLISHER/ADVERTISER FROM GEOZO SHALL CREATE ANY WARRANTY, REPRESENTATION AND/OR GUARANTEE NOT EXPRESSLY STATED IN THE AGREEMENT.
10.2. Geozo shall not be liable for failure to receipt by Users of information by email due to technical problems on the Internet, connection faults, hosting problems, operation of anti-spam filters and other reasons beyond Geozo control. The Geozo reserves the right to retain and use the correspondence with Users or their representatives.
10.3. Geozo is not responsible for placement of ad units on platforms whose owners host materials that are protected by copyright, while not being the holders of these rights.
10.4. Geozo is not responsible for advertising materials of Partners, as well as for the sites to which ads are linked, the owners of which host materials protected by copyright, while not being the holders of these rights.
10.5. Users are fully responsible for the security of their username and password as well as for any losses that may arise from their unauthorised use. Geozo is not responsible for and shall not reimburse any losses that may arise due to unauthorized access of third parties to the Partner's account data.
10.6 The Geozo Platform is a technical tool and provides only services of a technical nature; therefore, Geozo is in no way responsible for:
- Any actions/inactions made by Users and/or third parties, which violate or have violated the provisions of the applicable law;
- Any indirect damages and/or loss of profit of Users and/or third parties, regardless of whether Geozo could have foreseen such damage;
- Use (impossibility to use) and any consequences of use (impossibility to use) of the Advertiser's form of payment for Services under Contract, as well as use/impossibility to use any means and/or methods of sending/receiving information by Advertiser and/or third parties.
10.7. The aggregate liability of Geozo under any agreement entered into with the User, including the amount of penalties and/or recoverable damages, under any action or claim in respect of any agreement or performance, is limited to 10% of the aggregate value of services under the agreement.
10.8 Users shall undertake, at their own cost and expense, to resolve disputes and third-party claims regarding the distribution and creation of advertisements (advertising campaigns, advertisements, units) as part of the Services or compensate any damage incurred by Geozo in relation to such claims and lawsuits based on the advertisements under the agreements between Users and the Administration. If the placement of advertising is the basis for issuance of orders by public authorities to Geozo to pay penalties, the User agrees to provide Geozo upon request with all requested information relating to the placement, creation and content of advertising, to assist Geozo in the settlement of such processes, as well as to compensate all possible losses in connection with the payment of fines, penalties, as well as blocking the activities of the platform.
10.9. User shall indemnify, defend and hold Geozo, its agents, advertisers, affiliates, subsidiaries, directors, officers, employees, and applicable third parties harmless from and against any and all third party claims, liability, loss, demand for payment, and expense (including damage awards, settlement amounts, and reasonable legal fees), brought against them, arising out of, related to or which may arise from user’s use of Geozo platform and/or his breach of any term of this document.
11. REPRESENTATIONS AND WARRANTIES.
11.1. Each user represents and warrants that
- all of the information provided by them to Geozo is true, accurate, correct, and current;
- He has all necessary rights, power, and authority to enter into this Agreement and to perform the acts required of him;
- He has complied and will continue to comply with all applicable laws, statutes, ordinances, and regulations (including without limitation the GDPR and any relevant data protection or privacy laws) in interaction with Geozo;
- He has read Geozo policies and guidelines, will regularly check the Geozo website for all policies updates and shall comply with any and all such policies and guidelines, as well as updates to same.
11.2. User registered as an Advertiser certifies that
- he is the owner of each advertisement, Creative, and/or content or that he is legally authorized to act on behalf of the owner of such for the purposes of this Agreement and the Program;
- each Ad, advertisement, Creative, content, and any material displayed therein: (i) complies with all applicable laws, statutes, ordinances, and regulations; (ii) do not breach and have not breached any duty toward or rights of any person or entity including, without limitation, rights of intellectual property, publicity or privacy, or rights or duties under consumer protection, product liability, tort, or contract theories; and (iii) are not pornographic, hate-related or otherwise violent in content.
- any use of his advertisements and content will not violate or encourage violation of any applicable laws, regulations, code of conduct, or third party rights (including without limitation intellectual property rights).
Violation of the foregoing may result in immediate termination of this Agreement or Advertiser's account without notice and may subject Advertiser to legal penalties and consequences.
11.3. User registered as a Publisher certifies that:
- He is the owner of each website or he is are legally authorized to act on behalf of the owner of such Website for the purposes of work with Geozo Platform
- The content of his website and any materials displayed therein: (i) comply with all applicable laws, statutes, ordinances, and regulations; (ii) do not breach and have not breached any duty toward or rights of any person or entity including, without limitation, rights of intellectual property, publicity or privacy, or rights or duties under consumer protection, product liability, tort, or contract theories; (iii) fully comply with all terms, conditions and requirements of any source of web traffic to you website(s); and (iv) are not pornographic, hate-related or otherwise violent in content;
- His website is compliant with all the applicable personal data protection regulations, including Regulation (EU) 2016/679 (General data Protection Regulation), Brazilian Lei Geral de Proteção de Dados (LGPD), The California Consumer Privacy Act (CCPA), has duly drafted Privacy Policy and Terms of use.
12. Confidentiality
12.1. Geozo undertakes not to disclose users’ personal data to third parties, except in the following cases:
- If it is done in accordance with the requirements of applicable law under the procedures prescribed by law;
- If the Partner's consent has been obtained.
12.2. Geozo may use general information about the user that does not contain personal data and does not allow to identify the Partner (OS, browser, geography, number of impressions and clicks on the Ad Unit, etc.).
12.3 The collection and processing of personal data of users for the providing appropriate services is also allowed. For more information about the use, processing and protection of personal data see our Privacy Policy at and the consent to the processing of personal data.
13. TERMINATION.
13.1 Geozo reserves the right, in its sole and absolute discretion, to terminate any user’s account on Geozo platform at any time for any reason, without notice. Termination notice may be provided via e-mail and will be effective immediately.
14. CHOICE OF LAW
14.1 These Terms of Use shall be governed by and construed in accordance with the Cyprus laws. Any dispute, legal action or proceeding arising under or in connection with these Terms of Use or the Agreement shall be brought exclusively in the court of Limassol, Cyprus.
